Terra Drone Consolidates Ukrainian Fixed-Wing Interceptor Drone Company WinnyLab LLC as a Subsidiary

Key Points:Strengthening Radar-Integrated Solutions with “Terra A2,” a Wide-Area, Long-Range Fixed-Wing Interceptor Drone Used in Real Combat Operations in Ukraine, and Reinforcing the Global Growth Foundation of Its Defense Business

Tokyo, June 15, 2026Terra Drone Corporation, a leading drone and Urban Air Mobility (UAM) technology company headquartered in Japan, announces that, building on its strategic investment in WinnyLab LLC (“WinnyLab”) in Ukraine, previously announced on April 28, 2026, it will acquire 50% of the company’s shares through Terra Defense Europe, Terra Drone Group’s European base in Estonia, become its largest shareholder, and consolidate WinnyLab as a subsidiary.

Through this consolidation, Terra Drone will welcome WinnyLab into the Group as a consolidated subsidiary and will leverage the company’s locally developed capabilities and business foundation in fixed-wing interceptor drones to accelerate and enhance the agility of its global expansion in the defense business.

In addition, with the aim of building a layered defense solution capable of addressing increasingly diverse aerial threats, Terra Drone also announced on the same date that it will consolidate Amazing Drones, a Ukrainian interceptor drone company developing “Terra A1,” a short-range, rapid-response interceptor drone, as a subsidiary.

Background

Since announcing its entry into the defense equipment market in March 2026, Terra Drone has been building its business foundation in the defense sector by leveraging the expertise it has cultivated in drone technology and traffic management systems.

WinnyLab is a Ukrainian defense technology company that has developed and tested fixed-wing interceptor drones locally to address a wide range of aerial threats, including long-range unmanned aerial vehicles. The company is focused on developing products that emphasize the wide-area coverage, extended flight endurance, and high speed required under Ukraine’s demanding operational conditions.

As part of its defense business strategy, Terra Drone entered into a capital and business alliance agreement with WinnyLab and made a strategic investment in the company. Since then, the two companies have been working together to evaluate the practicality and market potential of the fixed-wing interceptor drone “Terra A2” and to discuss its commercial development. In May 2026, Terra Drone commenced operational deployment of “Terra A2” in Ukraine through WinnyLab, and has been advancing verification of its practical utility as a fixed-wing interceptor drone for wide-area air defense under real combat conditions.

Terra Drone has determined that, in the counter-drone defense domain, a product improvement cycle closely aligned with local operational environments, together with the ability to expand business globally, will be critical to strengthening competitiveness going forward. Accordingly, rather than remaining a financial investor, Terra Drone has decided to deepen its collaboration with WinnyLab by making it a subsidiary and advancing its defense business as a group.

Key Features of “Terra A2”

“Terra A2” is a fixed-wing interceptor drone designed for wide-area surveillance, long-range flight, and extended endurance. Leveraging an advanced aerodynamic design, it achieves a top speed of 312 km/h, a wide-area coverage range of 75 km, and a flight endurance of more than 40 minutes. In addition, it is designed to integrate with radar systems, enabling it to function as a fixed-wing interceptor platform capable of carrying out wide-area surveillance, target detection, tracking, and interception in an integrated manner. Through these capabilities, Terra A2 is intended to contribute to the establishment of a wide-area air defense layer.

Purpose of the Consolidation

This consolidation is intended to strengthen the business foundation of Terra Drone’s defense operations and accelerate its global expansion. Going forward, Terra Drone will reinforce its group-wide collaboration framework by combining its global network with the development capabilities and business foundation that WinnyLab has built locally in fixed-wing interceptor drones, with the aim of creating medium- to long-term growth opportunities in the defense sector.

In addition, this consolidation will accelerate the strengthening of Terra Drone’s defense product portfolio. By integrating “Terra A1,” an interceptor drone designed for short-range response, with “Terra A2,” a fixed-wing platform designed for wide-area coverage, Terra Drone will advance the early realization of a layered defense solution aimed at addressing increasingly diverse aerial threats.

Overview of the Initiative

Through this consolidation, Terra Drone will strengthen the business foundation of “Terra A2” and enhance both its defense product portfolio and its proposal capabilities. To this end, the two companies will move quickly to advance the following initiatives in close coordination:

  1. Integration of WinnyLab as a Group Company
Through this consolidation, WinnyLab will become part of the Terra Drone Group, enabling the Company to more agilely strengthen its structure for decision-making, business development, and global expansion in the defense sector.
  2. Support for Local Product Improvement and Business Expansion
In the counter-drone defense domain, product improvement cycles tailored to local operational environments are a critical factor in determining product competitiveness. Terra Drone will strengthen the competitiveness of its defense business centered on “Terra A2” by supporting WinnyLab’s locally driven product improvement efforts through the use of the Group’s global network.

Future Outlook

By combining “Terra A1,” designed for short-range response, with “Terra A2,” a fixed-wing platform for wide-area coverage, Terra Drone aims to help address the security challenges faced by countries and regions around the world through a layered defense solution.

The Company will continue to promote the expansion of its counter-drone defense business across Europe, the United States, the Middle East, and other regions, while taking into account the regulatory frameworks and market environments of each country and region.

Going forward, Terra Drone will continue to leverage the expertise it has built in drone development and operations, traffic management systems, and global business expansion to create new business opportunities in the defense sector and enhance its corporate value over the medium to long term.

Future Outlook (Impact on Financial Results)

While we believe this matter will contribute to the enhancement of the company’s corporate value over the medium to long term, its impact on Terra Drone’s consolidated financial results for the fiscal year ending January 2027 is expected to be minimal at this time. Should any matters requiring disclosure arise in the future, we will promptly make an announcement.
